Approve the Legal Services Agreements Between The School Board of Hillsborough County, Florida and Bryant Miller Olive, P.A. and GrayRobinson, P.A. - Legal Services, Disclosure Counsel Service (Business Services Division)
EXECUTIVE SUMMARY
Disclosure counsel service is necessary to disseminate information about bond issues to the marketplace under the requirement of SEC Rule 15c 2-12. It is not anticipated that we will use this service in the next few years, but it is important to have counsel available should the need arise.

The initial term of these agreements shall be for a one-year period, with four one-year renewals. There is a 30-day termination for convenience clause included in the contracts. All prices offered are firm against any increase for at least one year from the effective date. The contracts will be reviewed and evaluated annually and may be renewed by the Superintendent, per the terms of the specifications.

Florida Administrative Code 6A-1.012(11)(a) Purchasing Policies states the requirement for requesting competitive solicitations for commodities or contractual services from three or more sources is hereby waived as authorized by Section 1010.04(4)(a), F.S., for the purchase by district school boards of professional services which shall include, without limitation, artistic services; academic program reviews; lectures by individuals; auditing services not subject to Section 218.391, F.S.; and legal services, including attorney, paralegal, expert witness, court reporting, appraisal or mediator services.

Payments for disclosure counsel are made with the issuance of new debt, either refunding or new money projects.  The cost of issuance will be paid from the proceeds of the debt issuance and are expensed in the corresponding debt service fund, 2xx. 
EVALUATION
Contract administration or evaluation is performed by the Project Manager (end user) and Procurement Officer, who function as a team. Reviews are performed annually or by utilizing an online vendor performance report. Prior to soliciting a new contract, the Contract Administration team must first give consideration to the specifications and supporting data of the expiring contract.
