Approve Second Amendment to the 2003 License Agreement Between the School Board of Hillsborough County and Junior Achievement, Inc. to Extend the Term of the License Agreement; Approve a Consent to Sublicense Agreement Between Junior Achievement of Tampa Bay, Inc., as Assignor, and Junior Achievement Finance Park Tampa Bay, Inc., as Assignee, and Approve a Subsequent Consent to Sublicense Agreement Between Junior Achievement Finance Park Tampa Bay, Inc., as Assignor, and Junior Achievement of Tampa Bay, Inc., as Assignee
EXECUTIVE SUMMARY

In November 2003, the School Board approved a License Agreement with Junior Achievement, Inc. (JA) for property located on North 22nd Street in Tampa.  In April 2017, the School Board approved and entered into a First Amendment to the License Agreement with JA that expanded the site to adjacent lands to allow for an addition to the Junior Achievement building (Exhibit A).  JA is in the final stages of completing their financial requirements to develop the addition utilizing New Market Tax Credits for the construction.  As part of the financing, JA is requiring a Sub-License Agreement between JA and Junior Achievement Finance Park Tampa Bay, Inc. and then another Sub-License Agreement from Junior Achievement Finance Park Tampa Bay, Inc. back to Junior Achievement, Inc.   The School Board must consent to these two Sub-License Agreements for the financing to move forward.

Junior Achievement of Tampa Bay, Inc. (JA) is also requesting a Second Amendment to the 2003 License Agreement in order to extend the term of the License Agreement.  The License Agreement currently expires on November 1, 2053; however, JA has requested three (3) additional ten (10) year terms to extend the License Agreement to 2083.

FINANCIAL IMPACT (Budgeted:  No)
Approval of the two Consents to the Sub-License Agreements and the Approval of the Second Amendment to the License Agreement will have no financial impact to the School Board.
